General Terms and Conditions for Participation in the adgroupies Affiliate Program
Introduction
adgroupies provides an Internet platform (hereinafter: "platform") under the domain/subdomain adgroupies.com that enables registered members (hereinafter: "publishers") to participate in affiliate programs by adgroupies customers (hereinafter: "advertisers").
The object of affiliate programs is to deliver media services to support advertisers for selling goods and services online on a contingency basis. Publishers may register for and use the platform free of charge.
These terms and conditions form the basis for publisher participation on the adgroupies platform. They also regulate all obligations on the part of the publisher with respect to advertisers.
1. Definitions
These terms and conditions, as well as all contracts between publishers and adgroupies, are based on the following definitions:
Account: the access gained to the adgroupies platform after registration by the publisher, in accordance with said publisher's full, correct registration data – including the required information regarding the correct content category of the publisher's Web site.
Valid click: A click is valid when a user voluntarily and intentionally clicks a hyperlink for the advertiser's adgroupies affiliate program, and the linked advertiser's Web site is called up as a result. Repeated clicks or consecutive, rapid clicks by the same user – even on different hyperlinks – are not valid. Valid clicks are recorded and verified based on the adgroupies transaction system and determined by adgroupies at its reasonable discretion.
Valid lead: A lead is valid if a user executes a click and then carries out a specific defined action (qualified action such as entering an e-mail address or mobile phone number) on the advertiser's Web site. Valid leads are ascertained and determined like clicks above, whereby with respect to the execution of the qualified action, they are recorded and verified based on the advertiser's system and determined by adgroupies at its reasonable discretion.
Valid sale: A sale is valid if a user executes a valid click and then voluntarily and intentionally purchases goods or services (for a fee) on the advertiser's Web site. Valid sales are ascertained and determined like valid clicks above, whereby with respect to the purchase of goods or services by the user, they are recorded and verified based on the advertiser's system and determined by adgroupies at its reasonable discretion.
Hyperlink: A link to the advertiser's Web site provided by the publisher and identified as such on the publisher's Web site, which the publisher uses exclusively in this unchanged form.
Pay-per-click affiliate program: By implementing a hyperlink on the publisher's Web site, adgroupies is entitled to a fee for passing visitors on to the advertiser's web site.
Pay-per-lead (fixed amount per valid lead) affiliate program: By implementing a hyperlink on the publisher's Web site, adgroupies (and the publisher accordingly) is entitled to payment of a fee for passing visitors to the publisher's Web site on to the advertiser's Web site and brokering a lead (execution of a specific defined action by a user on the advertiser's Web site).
Pay-per-sale (percentage or fixed fee per valid sale) affiliate program: By implementing a hyperlink on the publisher's Web site, adgroupies (and the publisher accordingly) is entitled to payment of a fee for passing visitors to the publisher's Web site on to the advertiser's Web site and brokering the sale of the advertiser's goods and services.
User: Any natural person who voluntarily and intentionally calls up the publisher's or advertiser's Web site – that is, without compulsion or deception and without receiving payment from the publisher or a third party for doing so – apart from within the scope of a bonus system run by adgroupies.
Web site (of the publisher): The publisher's Internet presence under the (main) domain stated and registered by the publisher with the contents checked by the advertiser, or any other domain or Web page within that domain that is assigned to the main domain and possesses identical content.
Web site (of the advertiser): The advertiser's Internet presence under the exactly stated URL under which the advertiser sells or advertises goods and/or services online, to which the publisher's hyperlink refers in accordance with the regulations of the affiliate program.
2. Area of applicability
2.1. Deliveries, services, offers, and contracts between adgroupies and the publisher are based exclusively on the following general terms and conditions. Any conflicting terms and conditions by the publisher are not valid unless their validity has been expressly agreed upon between adgroupies and the publisher. Counter-confirmations by the publisher referring to the publishers' general terms and conditions are hereby explicitly excluded.
2.2. Unless agreed otherwise between adgroupies and the publisher, any ancillary agreements, modifications, and amendments to this contract must be in writing to be valid.
2.3. Employees of adgroupies are not authorized to make verbal ancillary agreements or provide verbal assurances.
3. Registration on the adgroupies platform
3.1. By registering an account, the publisher hereby acknowledges these conditions of participation.
3.2. The publisher shall be responsible to adgroupies and the advertiser with respect to the completeness and accuracy of its information. The publisher is required to keep its registration data and account information up to date. The publisher is not authorized to specify different personal data when registering different accounts.
3.3. Web pages by the publisher in languages other than those allowed may not participate; adgroupies will delete any registrations that violate this condition without prior notification.
3.4. Registration for receiving an account, its confirmation by adgroupies, and the forwarding of access data by e-mail do not constitute the conclusion of a contract between adgroupies and the publisher. Upon receiving an account, the publisher initially is merely given the opportunity to apply for advertisers' affiliate programs at adgroupies.
4. Offer and contract conclusion
4.1. Separate contracts shall be concluded between adgroupies and the publisher with respect to the delivery of services for supporting the respective advertisers in the online sale of goods and services on a contingency basis, in compliance with these general terms and conditions and under the conditions of the respective affiliate programs.
4.2. The publisher shall use the platform, under its account, to send its offer for participating in an affiliate program through the corresponding application of its Web site to adgroupies. The publisher's offer must not be linked with conditions or provisos that differ from the conditions of the affiliate program. The publisher shall be bound to its offer for a period of 4 weeks from submission of its application to adgroupies. adgroupies may elect to accept the application with this period; if the application is not accepted, it is deemed rejected.
4.3. Acceptance of the offer is declared by the advertiser for adgroupies. Acceptance of the offer shall be declared for adgroupies by the advertiser in the form of acceptance of the application for the specific affiliate program and based exclusively on the terms and conditions specified on the platform. adgroupies shall be authorized to declare rejection of the publisher's offer, either on its own or through the advertiser, without specifying any reasons. The publisher shall not be entitled to any claims against adgroupies as a result of such action.
4.4. By accepting the offer, the publisher shall be entitled, but not obliged, to deliver services to support the respective advertiser within the scope of these terms and conditions and the conditions of the respective affiliate program. adgroupies has no claim to fulfillment of the contract vis-à-vis the publisher. All services delivered by the publisher must be performed in compliance with this contract and will be reimbursed accordingly.
5. Service specification right / service delivery
5.1. adgroupies shall be authorized to enhance the platform and adapt it to technical developments on an ongoing basis.
5.2. adgroupies shall be authorized to transfer service delivery or parts thereof to third-party service providers or their agents for independent execution.
6. Compensation
6.1. adgroupies enables adgroupies publishers to participate in pay-per-click, pay-per-lead, and pay-per-sale affiliate programs or a combination of any or all of these types of programs. A claim to compensation shall only arise for valid clicks, valid leads, or valid sales as defined by the conditions of the respective affiliate programs or these general terms and conditions.
6.2. For pay-per-click affiliate programs, the publisher shall be credited a fixed amount for each valid click. adgroupies publishes the amount that the publisher is credited for each valid click in the description of the affiliate program on the platform.
6.3. Clicks that are not generated by hyperlink and/or on the advertiser's Web site are not compensated, nor are clicks generated automatically through technical means (such as click generators) or initiated through compulsion or deception.
6.4. All valid clicks are credited to the publisher's account with adgroupies in the course of the daily evaluation. Crediting the publisher's account does not constitute recognition that the recorded clicks are actually valid clicks.
6.5. Initially, the comments in sections 6.2 and 6.3 shall apply accordingly to remuneration for pay-per-lead affiliate programs, pay-per-sale affiliate programs or a combination of the aforementioned types of programs. All leads and/or sales shall be credited upon fulfillment of the conditions of the respective affiliate programs. Crediting the publisher's account does not constitute recognition that all the conditions of the affiliate program have been met, nor that the recorded leads or sales are actually valid leads or sales. In the case of pay-per-sale affiliate programs with percentage-based compensation, said compensation is calculated according to the net sale value of the goods or services (excluding additional services or VAT).
7. Payment
7.1. adgroupies shall prepare a monthly settlement for the credits generated according to section 6 above, for all affiliate programs and for all of a publisher's accounts. The publisher shall receive an e-mail on the first day of each month, notifying it of the projected payment for the previous month, according to the credits generated for the publisher account to date. adgroupies shall disburse this payment to the publisher by the 15th day of the month following the settlement month at the latest, provided the amount for the settlement month is at least EUR 50.00 (in words: fifty thousand euros). Should the amount be less than EUR 50.00, adgroupies shall disburse the publisher's payment in the month in which all accumulated credits on the publisher account amount to at least EUR 50.00 net. adgroupies shall generate a credit memo for each payment for disbursement in accordance with local tax laws. No interest will be paid on the publisher's credit balance on the publisher's account.
7.2. Disbursement of payment may be made without final audit by adgroupies as to whether the credits on the publisher's account were generated based on valid clicks, leads, or sales in accordance with the conditions of the affiliate program or these general terms and conditions. Should the generation of a click, lead, or sale be deemed the result of manipulation or deception, or a violation of the conditions of the affiliate program or these general terms and conditions, or otherwise be deemed not a valid click, lead, or sale in accordance with these general terms and conditions, adgroupies shall be authorized to debit the publisher's account again within a period of 12 weeks after disbursement and/or to demand repayment of the disbursed amount. adgroupies shall be authorized to demand repayment of a disbursement even after this period if adgroupies can prove that the publisher's claim to compensation was not based on a valid click, lead, or sale.
7.3. Payments for publishers shall initially be disbursed from the respective advertiser's credit balance at adgroupies for the respective affiliate program. To this regard, adgroupies obliges advertisers to ensure sufficient coverage for payments due to publishers based on payments made in the previous month and/or projected payments in the current month. Should the advertiser's credit balance not be sufficient to cover disbursement of compensation ad described in section 7.1, adgroupies shall pay the publishers a proportional amount for the respective affiliate program. Should the advertiser fail to provide cover for the publishers' incurred compensation claims within a period of two weeks, despite a corresponding demand from adgroupies, the publisher shall be entitled and obliged to make direct claim for payment from the advertiser. In this case, adgroupies will transfer its claims against this advertiser to the publisher, in the amount of the publisher's claim to compensation, upon request by the publisher. The publisher is not obliged to pursue a claim against the advertiser if said claim is futile due to lack of assets.
8. Duties of the publisher towards adgroupies and the advertiser
8.1. The publisher is obliged, in line with the technical possibilities, to design and present its Web site - including all search engine entries, directories, and third-party link lists - such that only valid, user-generated clicks, leads, and sales on the advertiser's Web site are generated.
8.2. adgroupies shall provide the publisher with the hyperlinks, in addition to the respective Web page of the advertiser, required to participate in an affiliate program. The publisher may not change the HTML code or banners provided for adgroupies for the advertiser. The provided advertisements may only be deployed on the publisher's Web site. Use of these advertisements is only allowed as related to participation in an affiliate program. Any disclosure of information or advertisements to third parties is not allowed.
8.3. The use of names, protected brands and trademarks, or logos of the company, adgroupies, or a third party – particularly the advertiser – shall only be permitted if the publisher has approval by the title holder. The Advertiser shall undertake to design its Web site in such a way that intellectual property rights of third parties (including copyright) are not breached and that the applicable law, particularly with regard to data protection, is not violated.
8.4. The dispatch of e-mail messages with advertisements for adgroupies or its affiliate programs by the publisher is only allowed if all legal regulations are complied with (particularly sec. 7, par. 1-3 UWG) and current legal decisions (such as BGH from 03/11/2004, file no. I ZR 81/01).
8.5. The Advertiser shall be obliged to affix provider identification to its commercial offerings, section 6 TDG (Teleservices Law). The Publisher shall be obliged to design its Web site in compliance with the statutory regulations for consumer protection Portrayals of violence, sexually explicit or pornographic content, or discriminating statements or portrayals with respect to race, sex, religion, nationality, handicaps, sexual orientation, or age are not admissible on the publisher's Web site and/or in connection with participation in adgroupies' affiliate programs. The design of the Web site must not be capable of impairing the reputation or appraisal of the goods or services, the brand, or the business activities, of adgroupies or the advertiser.
8.6. The above regulations shall also apply if the publisher links to third party pages.
8.7. The publisher may create hyperlinks to the advertiser's Web site in whatever quantity, at any location on the advertiser's Web site. Nonetheless, the publisher may demand that placement of the hyperlink be changed if this impairs the reputation or appraisal of the goods or service, the brand, or the business activities of adgroupies or Advertiser.
8.8. The publisher also assumes the obligations described in section 8 to the benefit of the respective advertiser.
9. Account and contract term
9.1. The publisher's account for the adgroupies platform has no time limit.
9.2. The contract between adgroupies and the publisher regarding the delivery of services to support the respective advertiser in the online sale of goods and services on a contingency basis is concluded for the duration calendar week in which the contract was signed, or for the duration of the affiliate program at the latest. It is extended for each additional calendar week up to the end of the affiliate program, provided it is not terminated with a period of one day (with effective date the following day).
9.3. Termination under these regulations must be in printed form. However, adgroupies shall also be entitled to declare termination in a different form.
10. Account deactivation and termination
10.1. adgroupies shall be entitled to deactivate the publisher's account and notify the publisher thereof if the publisher has not participated in an affiliate or generated any revenues in the previous twelve months.
10.2. adgroupies shall be entitled to terminate all contracts relating to participation in an affiliate program with statutory notice of termination, with a notice period of one day, effective at the end of a calendar week, and to deactivate the publisher's account if the initial balance of the affiliate program (see section 7 above) has not been used for twelve months.
10.3. The publisher and adgroupies reserve the right to extraordinary termination. adgroupies shall be entitled to terminate all contracts for good cause without complying with a notice period and deactivate access in the event of serious or persistent breaches of these general terms and Conditions by the publisher, namely, in particular, obligations pursuant to section 8 of these terms and conditions.
10.4. Termination according to these regulations must be in writing. However, adgroupies shall also be entitled to declare termination in a different form. Notification of account deactivation is always possible, regardless of form.
11. Termination of the contract
11.1. Should the account be deactivated, any existing credit balance shall be settled. Any credit balance on the publisher's account below the threshold described in section 7.1 shall be deemed null and void.
11.2. Following termination, the publisher is required to remove all hyperlinks for the
corresponding affiliate program from all Web pages. Starting on the effective termination date, to further payment will be made, even if the publisher does not remove the hyperlinks from its Web pages.
11.3. If a publisher account is deactivated due to the regulations in sections 9 or 10, that publisher shall not be entitled to sign up for the adgroupies platform again. Any violations of this regulation shall require the publisher to pay damages to adgroupies; any publisher credit generation shall be deemed null and void.
12. Liability
12.1. adgroupies shall be only liable for damages to the extent that adgroupies, its representatives, its senior management, or its agents is grossly negligent or acts intentionally. This shall not apply to liability due to delay.
12.2. To the extent that liability for damages is excluded, this shall also apply to the representatives, senior management, and agents of adgroupies.
13. Data protection
13.1. adgroupies stores the publisher's personal data electronically strictly for the purpose of founding, defining, or modifying the contractual relationship. The stored data includes the publisher's name, address, phone and fax numbers, e-mail address, bank details, and domain, as well as the involved affiliate program. This data shall only be passed on to third parties to the extent required for contract execution. The publisher acknowledges that advertisers may contact them directly by e-mail or phone, as required by the circumstances.
13.2. adgroupies shall handle the publisher's personal data as required by the German Data Protection Act.
13.3. Otherwise, all personal data involving the delivery of services shall only be collected, processed, or used to the extent necessary to enable the user to use the services (user data) or settle delivered services (settlement data).
14. Right to make changes
14.1. If adgroupies intends to amend these general terms and conditions, it will inform the publisher. If the publisher does not object to the amendment within the specified deadline and in the required form, the amended general terms and conditions shall take effect two calendar weeks after notification delivery. To object, the publisher must do so in writing and submit it to adgroupies within one week of receiving the proposed amendments. adgroupies shall inform the publisher of its right of objection and the required form and deadline, as well as the consequences of failing to fulfill the required form and deadline.
14.2. The compensation for all affiliate programs is subject to change. The advertiser can change the compensation for all affiliate programs at adgroupies as it sees fit. The amendment is executed through notification of changed compensation for the respective affiliate program on the platform. The amendment takes effect on the platform at midnight on the day following its publication.
15. Place of jurisdiction; chosen legal regime; severability
15.1. If the publisher is a businessperson, Berlin (Berlin District Court) is agreed as the place of jurisdiction for any financial disputes arising from this contract, including disputes regarding drafts and checks. Either party is authorized to file suit against the counterparty at their general place of jurisdiction.
15.2. German law shall apply, subject to the exclusion of UN sales laws.
15.3. Should any provision of this agreement become ineffective or unenforceable in whole or in part, this shall not affect the validity of any other provision. The ineffective or unenforceable provisions must be replaced by a suitable provision that is closest to the original intention and approved by both contractual parties.

Pay-per-lead (fixed amount per valid lead) affiliate program: By implementing a hyperlink on the publisher's Web site, adgroupies (and the publisher accordingly) is entitled to payment of a fee for passing visitors to the publisher's Web site on to the advertiser's Web site and brokering a lead (execution of a specific defined action by a user on the advertiser's Web site).
Pay-per-sale (percentage or fixed fee per valid sale) affiliate program: By implementing a hyperlink on the publisher's Web site, adgroupies (and the publisher accordingly) is entitled to payment of a fee for passing visitors to the publisher's Web site on to the advertiser's Web site and brokering the sale of the advertiser's goods and services.
User: Any natural person who voluntarily and intentionally calls up the publisher's or advertiser's Web site – that is, without compulsion or deception and without receiving payment from the publisher or a third party for doing so – apart from within the scope of a bonus system run by adgroupies.
Web site (of the publisher): The publisher's Internet presence under the (main) domain stated and registered by the publisher with the contents checked by the advertiser, or any other domain or Web page within that domain that is assigned to the main domain and possesses identical content.
Web site (of the advertiser): The advertiser's Internet presence under the exactly stated URL under which the advertiser sells or advertises goods and/or services online, to which the publisher's hyperlink refers in accordance with the regulations of the affiliate program.
2. Area of applicability
2.1. Deliveries, services, offers, and contracts between adgroupies and the publisher are based exclusively on the following general terms and conditions. Any conflicting terms and conditions by the publisher are not valid unless their validity has been expressly agreed upon between adgroupies and the publisher. Counter-confirmations by the publisher referring to the publishers' general terms and conditions are hereby explicitly excluded.
2.2. Unless agreed otherwise between adgroupies and the publisher, any ancillary agreements, modifications, and amendments to this contract must be in writing to be valid.
2.3. Employees of adgroupies are not authorized to make verbal ancillary agreements or provide verbal assurances.
3. Registration on the adgroupies platform
3.1. By registering an account, the publisher hereby acknowledges these conditions of participation.
3.2. The publisher shall be responsible to adgroupies and the advertiser with respect to the completeness and accuracy of its information. The publisher is required to keep its registration data and account information up to date. The publisher is not authorized to specify different personal data when registering different accounts.
3.3. Web pages by the publisher in languages other than those allowed may not participate; adgroupies will delete any registrations that violate this condition without prior notification.
3.4. Registration for receiving an account, its confirmation by adgroupies, and the forwarding of access data by e-mail do not constitute the conclusion of a contract between adgroupies and the publisher. Upon receiving an account, the publisher initially is merely given the opportunity to apply for advertisers' affiliate programs at adgroupies.
4. Offer and contract conclusion
4.1. Separate contracts shall be concluded between adgroupies and the publisher with respect to the delivery of services for supporting the respective advertisers in the online sale of goods and services on a contingency basis, in compliance with these general terms and conditions and under the conditions of the respective affiliate programs.
4.2. The publisher shall use the platform, under its account, to send its offer for participating in an affiliate program through the corresponding application of its Web site to adgroupies. The publisher's offer must not be linked with conditions or provisos that differ from the conditions of the affiliate program. The publisher shall be bound to its offer for a period of 4 weeks from submission of its application to adgroupies. adgroupies may elect to accept the application with this period; if the application is not accepted, it is deemed rejected.
4.3. Acceptance of the offer is declared by the advertiser for adgroupies. Acceptance of the offer shall be declared for adgroupies by the advertiser in the form of acceptance of the application for the specific affiliate program and based exclusively on the terms and conditions specified on the platform. adgroupies shall be authorized to declare rejection of the publisher's offer, either on its own or through the advertiser, without specifying any reasons. The publisher shall not be entitled to any claims against adgroupies as a result of such action.
4.4. By accepting the offer, the publisher shall be entitled, but not obliged, to deliver services to support the respective advertiser within the scope of these terms and conditions and the conditions of the respective affiliate program. adgroupies has no claim to fulfillment of the contract vis-à-vis the publisher. All services delivered by the publisher must be performed in compliance with this contract and will be reimbursed accordingly.
5. Service specification right / service delivery
5.1. adgroupies shall be authorized to enhance the platform and adapt it to technical developments on an ongoing basis.
5.2. adgroupies shall be authorized to transfer service delivery or parts thereof to third-party service providers or their agents for independent execution.
6. Compensation
6.1. adgroupies enables adgroupies publishers to participate in pay-per-click, pay-per-lead, and pay-per-sale affiliate programs or a combination of any or all of these types of programs. A claim to compensation shall only arise for valid clicks, valid leads, or valid sales as defined by the conditions of the respective affiliate programs or these general terms and conditions.
6.2. For pay-per-click affiliate programs, the publisher shall be credited a fixed amount for each valid click. adgroupies publishes the amount that the publisher is credited for each valid click in the description of the affiliate program on the platform.
6.3. Clicks that are not generated by hyperlink and/or on the advertiser's Web site are not compensated, nor are clicks generated automatically through technical means (such as click generators) or initiated through compulsion or deception.
6.4. All valid clicks are credited to the publisher's account with adgroupies in the course of the daily evaluation. Crediting the publisher's account does not constitute recognition that the recorded clicks are actually valid clicks.
6.5. Initially, the comments in sections 6.2 and 6.3 shall apply accordingly to remuneration for pay-per-lead affiliate programs, pay-per-sale affiliate programs or a combination of the aforementioned types of programs. All leads and/or sales shall be credited upon fulfillment of the conditions of the respective affiliate programs. Crediting the publisher's account does not constitute recognition that all the conditions of the affiliate program have been met, nor that the recorded leads or sales are actually valid leads or sales. In the case of pay-per-sale affiliate programs with percentage-based compensation, said compensation is calculated according to the net sale value of the goods or services (excluding additional services or VAT).
7. Payment
7.1. adgroupies shall prepare a monthly settlement for the credits generated according to section 6 above, for all affiliate programs and for all of a publisher's accounts. The publisher shall receive an e-mail on the first day of each month, notifying it of the projected payment for the previous month, according to the credits generated for the publisher account to date. adgroupies shall disburse this payment to the publisher by the 15th day of the month following the settlement month at the latest, provided the amount for the settlement month is at least EUR 50.00 (in words: fifty thousand euros). Should the amount be less than EUR 50.00, adgroupies shall disburse the publisher's payment in the month in which all accumulated credits on the publisher account amount to at least EUR 50.00 net. adgroupies shall generate a credit memo for each payment for disbursement in accordance with local tax laws. No interest will be paid on the publisher's credit balance on the publisher's account.
7.2. Disbursement of payment may be made without final audit by adgroupies as to whether the credits on the publisher's account were generated based on valid clicks, leads, or sales in accordance with the conditions of the affiliate program or these general terms and conditions. Should the generation of a click, lead, or sale be deemed the result of manipulation or deception, or a violation of the conditions of the affiliate program or these general terms and conditions, or otherwise be deemed not a valid click, lead, or sale in accordance with these general terms and conditions, adgroupies shall be authorized to debit the publisher's account again within a period of 12 weeks after disbursement and/or to demand repayment of the disbursed amount. adgroupies shall be authorized to demand repayment of a disbursement even after this period if adgroupies can prove that the publisher's claim to compensation was not based on a valid click, lead, or sale.
7.3. Payments for publishers shall initially be disbursed from the respective advertiser's credit balance at adgroupies for the respective affiliate program. To this regard, adgroupies obliges advertisers to ensure sufficient coverage for payments due to publishers based on payments made in the previous month and/or projected payments in the current month. Should the advertiser's credit balance not be sufficient to cover disbursement of compensation ad described in section 7.1, adgroupies shall pay the publishers a proportional amount for the respective affiliate program. Should the advertiser fail to provide cover for the publishers' incurred compensation claims within a period of two weeks, despite a corresponding demand from adgroupies, the publisher shall be entitled and obliged to make direct claim for payment from the advertiser. In this case, adgroupies will transfer its claims against this advertiser to the publisher, in the amount of the publisher's claim to compensation, upon request by the publisher. The publisher is not obliged to pursue a claim against the advertiser if said claim is futile due to lack of assets.
8. Duties of the publisher towards adgroupies and the advertiser
8.1. The publisher is obliged, in line with the technical possibilities, to design and present its Web site - including all search engine entries, directories, and third-party link lists - such that only valid, user-generated clicks, leads, and sales on the advertiser's Web site are generated.
8.2. adgroupies shall provide the publisher with the hyperlinks, in addition to the respective Web page of the advertiser, required to participate in an affiliate program. The publisher may not change the HTML code or banners provided for adgroupies for the advertiser. The provided advertisements may only be deployed on the publisher's Web site. Use of these advertisements is only allowed as related to participation in an affiliate program. Any disclosure of information or advertisements to third parties is not allowed.
8.3. The use of names, protected brands and trademarks, or logos of the company, adgroupies, or a third party – particularly the advertiser – shall only be permitted if the publisher has approval by the title holder. The Advertiser shall undertake to design its Web site in such a way that intellectual property rights of third parties (including copyright) are not breached and that the applicable law, particularly with regard to data protection, is not violated.
8.4. The dispatch of e-mail messages with advertisements for adgroupies or its affiliate programs by the publisher is only allowed if all legal regulations are complied with (particularly sec. 7, par. 1-3 UWG) and current legal decisions (such as BGH from 03/11/2004, file no. I ZR 81/01).
8.5. The Advertiser shall be obliged to affix provider identification to its commercial offerings, section 6 TDG (Teleservices Law). The Publisher shall be obliged to design its Web site in compliance with the statutory regulations for consumer protection Portrayals of violence, sexually explicit or pornographic content, or discriminating statements or portrayals with respect to race, sex, religion, nationality, handicaps, sexual orientation, or age are not admissible on the publisher's Web site and/or in connection with participation in adgroupies' affiliate programs. The design of the Web site must not be capable of impairing the reputation or appraisal of the goods or services, the brand, or the business activities, of adgroupies or the advertiser.
8.6. The above regulations shall also apply if the publisher links to third party pages.
8.7. The publisher may create hyperlinks to the advertiser's Web site in whatever quantity, at any location on the advertiser's Web site. Nonetheless, the publisher may demand that placement of the hyperlink be changed if this impairs the reputation or appraisal of the goods or service, the brand, or the business activities of adgroupies or Advertiser.
8.8. The publisher also assumes the obligations described in section 8 to the benefit of the respective advertiser.
9. Account and contract term
9.1. The publisher's account for the adgroupies platform has no time limit.
9.2. The contract between adgroupies and the publisher regarding the delivery of services to support the respective advertiser in the online sale of goods and services on a contingency basis is concluded for the duration calendar week in which the contract was signed, or for the duration of the affiliate program at the latest. It is extended for each additional calendar week up to the end of the affiliate program, provided it is not terminated with a period of one day (with effective date the following day).
9.3. Termination under these regulations must be in printed form. However, adgroupies shall also be entitled to declare termination in a different form.
10. Account deactivation and termination
10.1. adgroupies shall be entitled to deactivate the publisher's account and notify the publisher thereof if the publisher has not participated in an affiliate or generated any revenues in the previous twelve months.
10.2. adgroupies shall be entitled to terminate all contracts relating to participation in an affiliate program with statutory notice of termination, with a notice period of one day, effective at the end of a calendar week, and to deactivate the publisher's account if the initial balance of the affiliate program (see section 7 above) has not been used for twelve months.
10.3. The publisher and adgroupies reserve the right to extraordinary termination. adgroupies shall be entitled to terminate all contracts for good cause without complying with a notice period and deactivate access in the event of serious or persistent breaches of these general terms and Conditions by the publisher, namely, in particular, obligations pursuant to section 8 of these terms and conditions.
10.4. Termination according to these regulations must be in writing. However, adgroupies shall also be entitled to declare termination in a different form. Notification of account deactivation is always possible, regardless of form.
11. Termination of the contract
11.1. Should the account be deactivated, any existing credit balance shall be settled. Any credit balance on the publisher's account below the threshold described in section 7.1 shall be deemed null and void.
11.2. Following termination, the publisher is required to remove all hyperlinks for the
corresponding affiliate program from all Web pages. Starting on the effective termination date, to further payment will be made, even if the publisher does not remove the hyperlinks from its Web pages.
11.3. If a publisher account is deactivated due to the regulations in sections 9 or 10, that publisher shall not be entitled to sign up for the adgroupies platform again. Any violations of this regulation shall require the publisher to pay damages to adgroupies; any publisher credit generation shall be deemed null and void.
12. Liability
12.1. adgroupies shall be only liable for damages to the extent that adgroupies, its representatives, its senior management, or its agents is grossly negligent or acts intentionally. This shall not apply to liability due to delay.
12.2. To the extent that liability for damages is excluded, this shall also apply to the representatives, senior management, and agents of adgroupies.
13. Data protection
13.1. adgroupies stores the publisher's personal data electronically strictly for the purpose of founding, defining, or modifying the contractual relationship. The stored data includes the publisher's name, address, phone and fax numbers, e-mail address, bank details, and domain, as well as the involved affiliate program. This data shall only be passed on to third parties to the extent required for contract execution. The publisher acknowledges that advertisers may contact them directly by e-mail or phone, as required by the circumstances.
13.2. adgroupies shall handle the publisher's personal data as required by the German Data Protection Act.
13.3. Otherwise, all personal data involving the delivery of services shall only be collected, processed, or used to the extent necessary to enable the user to use the services (user data) or settle delivered services (settlement data).
14. Right to make changes
14.1. If adgroupies intends to amend these general terms and conditions, it will inform the publisher. If the publisher does not object to the amendment within the specified deadline and in the required form, the amended general terms and conditions shall take effect two calendar weeks after notification delivery. To object, the publisher must do so in writing and submit it to adgroupies within one week of receiving the proposed amendments. adgroupies shall inform the publisher of its right of objection and the required form and deadline, as well as the consequences of failing to fulfill the required form and deadline.
14.2. The compensation for all affiliate programs is subject to change. The advertiser can change the compensation for all affiliate programs at adgroupies as it sees fit. The amendment is executed through notification of changed compensation for the respective affiliate program on the platform. The amendment takes effect on the platform at midnight on the day following its publication.
15. Place of jurisdiction; chosen legal regime; severability
15.1. If the publisher is a businessperson, Berlin (Berlin District Court) is agreed as the place of jurisdiction for any financial disputes arising from this contract, including disputes regarding drafts and checks. Either party is authorized to file suit against the counterparty at their general place of jurisdiction.
15.2. German law shall apply, subject to the exclusion of UN sales laws.
15.3. Should any provision of this agreement become ineffective or unenforceable in whole or in part, this shall not affect the validity of any other provision. The ineffective or unenforceable provisions must be replaced by a suitable provision that is closest to the original intention and approved by both contractual parties.
